The Cayman Islands Government Registry ("Registry") supports the Islands' financial services industry by maintaining registers of Companies, Partnerships, Trusts and Patents & Trademarks. The Registrar of Companies ("ROC") is the Cayman Islands equivalent of Companies House in the United Kingdom.
The Registry assists with company registrations, re-registrations, de-registrations, searches, re-instatements and filings. It offers up to date online services for requesting certificates and performing name checks and company searches. Electronic filings for Registers of Directors and Officers, Strike-Offs and Annual Returns are also now supported and the Registry offers its online services on a paid subscription basis.
Companies should file the following actions in the prescribed formats or risk incurring penalties with the Registry:
- Strike Offs
- Change in Share Capital
- Amended/Restated Memorandum and Articles of Association
- Change of Name
- Annual Returns
- Change of Registered Office
- Changes to the Directors/Officers
As of January 2013, the penalty for non-compliance was CI$10 (US$12.50) per day to a maximum of CI$500 ($609.76).
